Terms & Conditions

These Terms & Conditions (“Terms”) govern your use of the website codedesigns.eu (“Website”) and, where applicable, any purchase or use of services provided by C.E. CODE DESIGNS LTD (“Code Designs”, “we”, “us”, “our”). By accessing this Website, contacting us, requesting a quotation, approving a proposal, or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use this Website or our services.

1) Company Details

Code Designs operates under the legal entity C.E. CODE DESIGNS LTD, registered in Cyprus. “CodeDesigns” is a registered trademark. All rights reserved.

2) Definitions

  • Client / You: The individual or entity purchasing or requesting services.
  • Deliverables: The final outputs we agree to provide (e.g., website pages, designs, edited videos, reports).
  • Project / Services: Any work provided by Code Designs including web design/development, SEO, social media, video production/editing, consulting, and related services.
  • Scope: The agreed work described in a quotation, proposal, email confirmation, or statement of work.
  • Change Request: Any request that alters the agreed Scope (features, pages, design direction, languages, formats, timelines, outputs, etc.).

3) Website Use

You may browse this Website for informational purposes. You must not:

  • Use the Website in any way that causes damage or impairs availability;
  • Attempt unauthorized access to systems or data;
  • Upload, transmit, or distribute malicious code;
  • Use the Website for unlawful, harmful, or fraudulent purposes.

4) Quotations, Proposals, and Ordering

  1. Quotations/Proposals are valid for 14 days unless stated otherwise.
  2. Work begins only after:
    (a) written confirmation/acceptance of the Scope, and
    (b) receipt of the agreed deposit/initial payment, and
    (c) receipt of required materials/access from the Client (where applicable).
  3. If there is any conflict between a proposal and these Terms, the proposal prevails only for the specific conflicting clause, otherwise these Terms apply.

5) Payments, Deposits, and Invoicing

  1. Unless otherwise agreed in writing, payments are due as follows:
    • Deposit (advance payment): required to schedule and begin work;
    • Milestone or final payments: due upon delivery of milestones or completion.
  2. Deposits are non-refundable once work has started, as they reserve production capacity and cover planning and initial execution costs, unless otherwise agreed in writing.
  3. Invoices are payable within the stated due date. Late payments may result in:
    • Pausing of work, delivery, publishing, or support;
    • Rescheduling of filming/production dates;
    • Additional administrative fees and/or interest (where legally permitted).

6) Client Responsibilities (Critical)

To deliver quality work on time, the Client agrees to:

  • Provide timely feedback, approvals, and decisions;
  • Provide accurate and complete content (text, images, product/service details, pricing, policies);
  • Provide required access (hosting, domain DNS, WordPress admin, social accounts, analytics, ad accounts) where needed;
  • Ensure they have legal rights to any content provided to us (logos, photos, music, footage, fonts, trademarks);
  • Review deliverables for accuracy before publishing/go-live.

Delays in approvals or materials may extend timelines. We are not responsible for missed deadlines caused by Client delays.

7) Scope, Revisions, and Change Requests

  1. We deliver work based on the agreed Scope. Anything not explicitly included is out of scope.
  2. Revisions: Unless stated otherwise, proposals include a limited number of revision rounds. Revisions cover adjustments to the agreed concept; they do not include redesigns or new direction.
  3. Change Requests (Out of Scope): If the Client requests changes beyond Scope (e.g., new layout direction, additional pages, extra languages, new features, replacing large portions of content), we will:
    • Provide a revised quote and/or timeline;
    • Pause affected work until approved in writing.
  4. Design Freeze / Direction Lock: For efficiency, we may require written confirmation that key global elements are locked (e.g., header, footer, global sections, layout structure) before full rollout across all pages.

8) Delivery, Acceptance, and Go-Live

  1. Deliverables are deemed accepted when:
    • The Client confirms acceptance in writing; or
    • The deliverables are published/go-live; or
    • The Client uses them in public channels; or
    • No feedback is received within 7 days of delivery (unless otherwise agreed).
  2. After acceptance/go-live, further changes may be billed as new work or maintenance.

9) Hosting, DNS, and Third-Party Services (Cloudflare, Email, Plugins)

  1. If we assist with DNS/Cloudflare/hosting configuration, we will follow best practices, but third-party services (registrars, hosting, Cloudflare, email providers like Microsoft 365, plugins, themes) remain outside our control.
  2. We are not liable for:
    • Third-party outages, policy changes, pricing changes, suspensions, or service failures;
    • Deliverability issues caused by external providers, blacklists, or misconfigured third-party settings not managed by us;
    • Website issues caused by third-party updates (themes/plugins) unless covered by a maintenance agreement.
  3. If the Client manages DNS/Cloudflare independently, they are responsible for applying any required records. If we manage DNS, the Client must provide all required records and confirm email/critical services before switching nameservers.

10) Intellectual Property and Licensing

10.1 Our Website

All content on this Website (text, visuals, code, brand assets, trademarks) is owned by Code Designs or licensed to us and protected by applicable intellectual property laws.

10.2 Client Materials

The Client retains ownership of any materials they provide to us (logos, photos, brand guidelines, etc.). The Client grants us a limited license to use such materials solely to provide the services.

10.3 Deliverables Created by Us

Unless otherwise agreed in writing:

  • Upon full payment, the Client receives a license to use the final Deliverables for their business purposes.
  • Code Designs retains ownership of underlying methods, templates, code libraries, processes, and know-how used to create the Deliverables.

10.4 Video & Photo Production — Raw Footage Policy

Unless expressly agreed in writing:

  • We deliver final edited outputs (deliverables) only.
  • Raw footage/source files/project files are not provided.
  • Raw material may be stored temporarily for backup/production and may be deleted at our discretion once delivery is completed.

10.5 Client Brand/Products — No Public Use Without Consent

We do not publish or share any client material that displays the Client’s products or brand (including footage, photos, logos, or project results) for marketing, portfolio, or advertising purposes without prior written consent from the Client.

11) Confidentiality

Where we receive confidential information, we will use it only for the purpose of providing the services and will not disclose it to third parties except:

  • to subcontractors working on the project under confidentiality obligations, or
  • where legally required.

12) SEO and Marketing Disclaimers

  1. SEO, social media, and advertising performance depends on many factors outside our control (competition, budgets, algorithm changes, website authority, market conditions, seasonality).
  2. We do not guarantee specific rankings, leads, conversions, revenue, or ad results unless explicitly agreed in writing as a guaranteed deliverable.

13) Limitation of Liability

To the maximum extent permitted by law:

  1. We provide services “as is” and do not warrant uninterrupted or error-free operation of third-party services.
  2. We are not liable for indirect, consequential, or special losses (including loss of profits, business, goodwill, or data).
  3. Our total liability for any claim relating to the services is limited to the amount paid to us for the specific services giving rise to the claim in the 3 months preceding the event, unless a different cap is required by law.

Nothing in these Terms limits liability where unlawful to do so.

14) Termination and Project Pause

  1. The Client may terminate a project in writing. Fees for work completed, scheduled time, and committed costs remain payable.
  2. Deposits are non-refundable once work has started (unless otherwise agreed).
  3. If a project is paused by the Client for 30 days or more, we may:
    • Re-quote timelines and costs;
    • Close the project and invoice for work performed to date.

15) Refunds

Refunds are not guaranteed and are assessed based on:

  • Work completed and delivered;
  • Time reserved/production capacity;
  • Third-party costs already incurred.

16) Links to Other Websites

We may link to third-party sites. We do not control and are not responsible for their content, policies, or availability.

17) Changes to These Terms

We may update these Terms at any time by publishing a revised version on this page. Updates are effective upon publication.

18) Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Cyprus. You agree that the courts of Cyprus shall have exclusive jurisdiction over any dispute arising from these Terms or the services.
